1. Subject matter and scope
1.1. These Terms and Conditions govern access to, registration for, contracting of and use of the Doconti technological platform, provided as a Software as a Service (SaaS).
1.2. Doconti is intended, in its initial phase, exclusively for certified accountants, accounting companies, accounting firms and other expressly authorised professional entities.
1.3. The platform provides tools for the receipt, collection, organisation, classification, storage, consultation, communication and management of documents, and may integrate artificial intelligence features, automation, data extraction and document process monitoring.
1.4. Doconti is an operational support technological tool. It does not provide accounting, statutory audit, auditing, tax, legal or financial advisory services and does not replace any legally qualified professional.
1.5. Contracting entails acceptance of these Terms, the Privacy Policy, the Security Policy and the Data Use and Processing Policy, including the applicable Data Processing Agreement.
2. Definitions
For the purposes of these Terms:
- Doconti: entity operating the platform and SaaS service.
- Client: natural or legal person that contracts the professional use of Doconti.
- Administrator: user designated by the Client to manage the account and respective access rights.
- Authorised user: person authorised by the Client to access the platform.
- Associated company: entity, identified by NIF or NIPC, whose documentation is managed by the Client.
- Guest user: person authorised to submit documents or perform limited operations by invitation.
- Client Content: documents, files, information, records, communications and data made available through the platform.
- AI Services: recognition, extraction, classification, summarisation, analysis or automation features that use artificial intelligence models.
3. Capacity and authority to contract
3.1. The Client declares that it acts within the scope of its professional activity and has legal capacity to contract.
3.2. The person creating an account on behalf of an organisation declares that they are duly authorised to represent it and bind it contractually.
3.3. The Client is responsible for the accuracy of identification, billing, representation and contact details.
3.4. Doconti may request evidence to verify the identity or authority of the Client where there are objective indications of fraud, security risk, improper use or a dispute regarding access to data.
3.5. Doconti may refuse registration or contracting for legitimate, non-discriminatory grounds, including fraud risk, prior default or impossibility of complying with legal obligations.
4. Registration and account management
4.1. Each subscription corresponds to a contractual usage environment associated with the Client.
4.2. The Client is responsible for appointing administrators, configuring permissions, keeping data up to date and monitoring assigned access rights.
4.3. Credentials are individual and may not be shared between different persons.
4.4. All operations carried out through an authenticated account are presumed to have been performed by a user with access to the respective credentials, without prejudice to the investigation of unauthorised access and Doconti's liability for failures attributable to it.
4.5. The Client undertakes to notify, without undue delay, any suspected unauthorised access or compromise of credentials.
4.6. Doconti may preventively suspend sessions or credentials where there are reasonable indications of compromise.
5. Subscription plans
5.1. Doconti initially offers the following plans, subject to the features and conditions published on the pricing page:
| Plan | Monthly fee | NIF limit |
|---|---|---|
| Solo | €29.90 + VAT | 20 |
| Gabinete | €49.90 + VAT | 150 |
| Plus | €99.90 + VAT | 350 |
5.2. The limits correspond to the maximum number of distinct entities, identified by NIF or NIPC, associated with the account, unless specifically defined otherwise in the published commercial terms.
5.3. Each entity counts only once towards the plan limit, regardless of the number of documents sent, without prejudice to reasonable and expressly disclosed technical limits.
5.4. The included features, acceptable use policy and any storage, processing or automation limits are those published on the pricing page at the time of contracting.
5.5. Doconti may offer additional features, promotional plans or optional services, under specific terms presented to the Client in advance.
5.6. Optional services or limit overages shall not be charged without prior notification and acceptance of the corresponding commercial term.
6. Free trial period
6.1. Doconti may provide a free trial period of 14 consecutive days, starting from account activation.
6.2. Trial registration does not require a credit card or any commitment to future contracting.
6.3. Once the trial period ends, the continuation of paid features is subject to the selection and express contracting of a plan.
6.4. In the absence of contracting, Doconti may suspend operational features while maintaining a data export mechanism during the exit period defined in these Terms.
6.5. Doconti may limit the granting of repeated trial periods to the same entity where necessary to prevent abusive use.
6.6. During the trial period, Doconti may apply proportionate technical limits, provided they are disclosed before use begins.
7. Billing and payments
7.1. Subscriptions are billed in advance, in accordance with the contracted periodicity.
7.2. Prices are stated in euros, exclusive of VAT at the applicable statutory rate, unless expressly indicated otherwise.
7.3. The Client authorises recurring payments only where it has expressly selected and confirmed a payment method and a paid plan.
7.4. Failure to pay may result in a regularisation notice, proportionate suspension of access to paid features and, if non-payment persists, termination of the subscription.
7.5. Doconti may not immediately erase the Client's data for non-payment, and must observe the agreed retention and deletion periods, legal obligations and data subjects' rights.
7.6. Doconti may use third-party payment service providers, which shall be subject to their respective terms and data protection regimes.
7.7. Payments relating to usage periods that have already commenced are non-refundable upon mere cancellation, except as required by mandatory statutory provisions, in the event of billing errors, or where contractual breach justifies a refund.
8. Changes to prices and plans
8.1. Doconti may alter prices, commercial conditions, limits and features for future subscription periods.
8.2. Materially adverse changes will be notified at least 30 days before taking effect for an existing Client.
8.3. The Client may cancel renewal before the new conditions take effect, without any penalty for non-renewal.
8.4. Changes required by law, security reasons or the discontinuation of external components may require more rapid implementation, always with adequate notice.
8.5. Price changes do not take retroactive effect over periods previously billed and paid.
9. Client obligations
The Client undertakes to:
- a) Use the platform solely for legitimate professional purposes;
- b) Ensure that it has an appropriate legal basis and authorization to collect, retain, upload and process documents and data;
- c) Comply with applicable professional, tax, accounting and confidentiality obligations;
- d) Validate automatically extracted or produced information before using it in accounting, tax or legal procedures;
- e) Keep permissions granted to employees, collaborators and clients up to date;
- f) Ensure the lawfulness of communications and document requests sent on its behalf;
- g) Maintain alternative copies, exports or archives where necessary to comply with statutory obligations or for business continuity;
- h) Promptly notify any incidents or unauthorised use of which it becomes aware.
10. Prohibited uses
It is prohibited to use Doconti to:
- a) Access information without lawful entitlement;
- b) Introduce unlawful or malicious content or content designed to damage systems;
- c) Distribute malware, conduct penetration testing without authorisation or circumvent security mechanisms;
- d) Create false identities, forge authorisations or manipulate documents fraudulently;
- e) Share credentials or commercialise access without authorisation;
- f) Collect personal data in breach of applicable legislation;
- g) Use automated interfaces, bots or unauthorised mass scraping techniques that compromise platform security or resources;
- h) Copy, decompile, exploit or attempt to obtain proprietary platform components, except where expressly permitted by law;
- i) Use artificial intelligence services to conduct activities prohibited by applicable legislation.
11. Documents and content
11.1. Doconti does not acquire ownership of uploaded documents or of any rights belonging to the Client or third parties therein.
11.2. The Client grants Doconti a limited, non-exclusive licence to host, transmit, technically reproduce, organise, index and process content solely to the extent necessary to provide the contracted services and comply with legal obligations.
11.3. Doconti assumes no right of independent commercial exploitation over Clients' accounting documents.
11.4. The Client is responsible for the lawfulness of obtaining and using content and for the instructions it provides, without prejudice to Doconti's own obligations as a technology provider and processor.
11.5. Doconti is not obliged to pre-screen the legality, origin or authenticity of each document.
11.6. If it becomes aware of manifestly unlawful use, it may restrict the affected processing and act in accordance with the law and these Terms.
12. Artificial intelligence and automation
12.1. Certain features may use artificial intelligence, optical character recognition, semantic interpretation and classification algorithms.
12.2. Outputs may contain errors, omissions, incorrect classifications, duplications or inaccurate interpretations.
12.3. Automated outputs do not constitute confirmation of documentary authenticity, tax certification, accounting validation or professional advice.
12.4. It is the Client's responsibility to verify outputs before making accounting entries, filing returns, taking decisions or fulfilling legal obligations.
12.5. The use of Doconti does not transfer to Doconti the statutory duties associated with the practice of the profession of certified accountant.
12.6. Doconti may replace technological models, algorithms and providers, while maintaining compliance with contractual security and data protection obligations and notifying materially relevant changes.
12.7. Client content shall not be used by Doconti to train general-purpose artificial intelligence models or to commercialise datasets. Any additional purpose requires an appropriate legal ground and a specific contractual instrument.
13. Availability and technological evolution
13.1. Doconti will employ professional diligence and appropriate technical measures to ensure service availability and continuity.
13.2. Interruptions may occur due to maintenance, updates, third-party failures, security incidents, force majeure events or extraordinary technical circumstances.
13.3. In the absence of an expressly contracted service level agreement, no specific availability percentage is guaranteed.
13.4. Doconti may rectify, update, replace or discontinue technological components, endeavouring to preserve the contracted core features.
13.5. Discontinuation of a core feature shall be notified with reasonable advance notice, without prejudice to urgent security measures or statutory requirements.
14. Intellectual property
14.1. The software, source code, technological structure, data models, interfaces, design, graphic elements, trademarks, documentation, technological foundations and proprietary components of Doconti belong to Doconti or its licensors.
14.2. Contracting grants solely a limited, non-exclusive, non-transferable and revocable right to use the service in accordance with the contract for the duration of the subscription.
14.3. The Client acquires no ownership rights over the technology, even when proposing improvements or configurations.
14.4. Doconti may use general suggestions for improvement voluntarily provided by Clients, provided it does not disclose confidential information, personal data or proprietary content.
14.5. Reverse engineering, reproduction, distribution or unauthorised exploitation practices are prohibited, subject to mandatory statutory exceptions.
15. Confidentiality and professional secrecy
15.1. The parties undertake to maintain the confidentiality of non-public technical, commercial, financial and documentary information to which they have access.
15.2. Doconti shall restrict access to Client content to personnel who are authorised and subject to confidentiality commitments.
15.3. This obligation does not cover information that is demonstrably public, lawfully obtained from third parties, independently developed, or whose disclosure is required by law.
15.4. Wherever legally permissible, the party required to disclose confidential information shall inform the other party in advance.
15.5. Confidentiality obligations shall survive termination of the contract, for the applicable statutory period or for as long as the information retains its confidential nature.
16. Protection of personal data
16.1. The processing of personal data is governed by the GDPR, applicable Portuguese legislation and the Data Processing Agreement.
16.2. Doconti is the controller of data used to manage its own contractual relationship, billing, administration, security and legitimate communications.
16.3. In processing data included in Client content, Doconti acts, as a rule, as a processor, pursuant to documented instructions from the controller.
16.4. The legal qualification of the Client and of associated companies depends on the functions effectively carried out by each entity.
16.5. Doconti shall not use Clients' documents for autonomous direct marketing, sale of data or general training of AI models.
17. Access by companies and guests
17.1. The Client may invite associated companies and their representatives to submit or consult content, within the limits of the contracted features.
17.2. The Client is responsible for the lawfulness of the invitation and the configuration of permissions.
17.3. An invitation does not automatically confer on the recipient administrative rights, full export rights or access to documents belonging to other entities.
17.4. Doconti may revoke expired, suspicious or compromised links for security reasons.
17.5. Guest users are subject to the usage and security rules applicable to the operations authorised to them.
18. Transfer of documentation between accountants
18.1. A change of accountant, accounting firm or service provider does not give rise to an automatic transfer of data between Doconti accounts.
18.2. Transfer requires verification of the applicant's authority, identification of the documents covered, and an appropriate contractual or statutory basis.
18.3. The mere provision of a NIF or creation of a new account does not constitute sufficient proof of authorisation.
18.4. Doconti may require confirmation from an authorised representative of the entity holding the documentary relationship, a valid instruction from the controller, or equivalent documentation.
18.5. Doconti will not determine ownership or confidentiality disputes between accounting firms, nor will it assume professional arbitration duties.
18.6. In the event of a substantiated dispute, Doconti may suspend the contested transfer while conducting legal verification, without precluding the exercise of legally enforceable rights.
18.7. The existence of outstanding debts between an accounting firm and its clients does not, in itself, constitute grounds for Doconti to impede the satisfaction of statutory rights or an order from a competent authority.
18.8. Doconti may maintain minimal logs of transfer operations for security, audit and defence of legal rights purposes.
19. Retention and export
19.1. The Client is responsible for determining statutory retention periods for documents associated with its activity and that of the represented companies.
19.2. Doconti provides document management tools and does not automatically assume the status of a legally certified tax archive.
19.3. The Client may export its data via mechanisms provided on the platform, under the formats and technical conditions published.
19.4. Following subscription termination, Doconti will generally provide a 30-day period for data export, except where legally barred or necessary to protect third-party rights.
19.5. Once the exit period has expired, data may be erased in accordance with the Data Use and Processing Policy and the Data Processing Agreement, observing valid instructions from the controller and applicable legislation.
19.6. The Client acknowledges that permanent erasure may make subsequent recovery of content impossible.
20. Suspension and termination
20.1. Doconti may suspend access, wholly or partially, where objective grounds exist regarding contractual breach, fraud, serious security risk, legal order or non-payment.
20.2. Wherever the situation permits, Doconti will notify the Client and grant a reasonable opportunity for regularisation.
20.3. In urgent situations, suspension may be immediate, limited to what is necessary to eliminate or contain the risk.
20.4. The Client may cancel subscription renewal via the account management mechanism, taking effect at the end of the contracted period, unless statutory or commercial provisions provide otherwise.
20.5. Termination is without prejudice to accrued obligations, confidentiality duties, intellectual property rights and surviving statutory liabilities.
21. Limitation of liability
21.1. Doconti is liable for damages legally attributable to it, under Portuguese law and applicable mandatory provisions.
21.2. To the maximum extent permitted by law, Doconti is not liable for:
- a) Professional, accounting or tax errors committed by the Client;
- b) Failure to meet tax deadlines or legal obligations resulting from the Client's omissions, instructions or inadequate validations;
- c) False, incomplete, illegible or incorrect documents provided by third parties;
- d) Decisions taken solely on the basis of automated outputs without the necessary professional validation;
- e) Failures of equipment, networks or external services not attributable to it;
- f) Use of the platform in breach of these Terms.
21.3. To the extent legally permissible, indirect damages, loss of profits and purely commercial losses that are not a legally compensable consequence of a breach attributable to Doconti are excluded.
21.4. In exclusively business-to-business relationships, Doconti's aggregate contractual liability for damages subject to limitation shall be limited to the amount of subscriptions effectively paid by the Client in the 12 months preceding the event giving rise to liability.
21.5. This limitation does not apply where the law prohibits its exclusion or limitation, namely in cases of wilful misconduct, gross negligence or mandatory liabilities regarding personal data protection.
21.6. Nothing in this clause excludes compensation rights conferred mandatorily by the GDPR or other applicable statutory regimes.
22. Liability for unlawful use
22.1. The Client is liable for its unlawful conduct, for instructions that breach third-party rights and for content whose use is not authorised.
22.2. To the extent legally permissible, the Client shall indemnify Doconti against proven direct losses resulting from unlawful use or contractual breach attributable to it.
22.3. This provision does not transfer Doconti's own statutory responsibilities to the Client and does not prejudice the rights of data subjects.
23. Amendments to the Terms
23.1. Doconti may update these Terms to reflect legal, regulatory, technological, operational or commercial changes.
23.2. Materially adverse changes will be notified with reasonable advance notice, generally not less than 30 days.
23.3. If the Client does not accept a material change, it may cancel the subscription before the change takes effect.
23.4. Records of versions and effective dates will be maintained.
24. Electronic communications
24.1. The Client agrees to receive contractual, administrative and security communications by electronic means.
24.2. Notifications may be made by email, through the private account area or via another appropriate channel.
24.3. The Client must ensure that contact details are kept up to date and monitor relevant messages.
24.4. The sending of advertising or promotional communications is subject to specific rules on privacy and electronic marketing.
25. Applicable law and dispute resolution
25.1. These Terms are governed by Portuguese law and directly applicable European Union law.
25.2. The parties shall seek to resolve disputes through prior good faith negotiation, without prejudice to immediate recourse to judicial or administrative proceedings where necessary.
25.3. In relations between professionals, and where legally permissible, jurisdiction shall lie with the Lisbon District Court, with express waiver of any other forum.
25.4. The jurisdiction clause does not restrict mandatory rights or legally exclusive jurisdictions of authorities or courts.
26. Final provisions
26.1. The invalidity of any provision shall not affect the validity of the remaining provisions.
26.2. Failure to exercise a right shall not constitute a waiver thereof.
26.3. Specific data protection provisions shall prevail over any conflicting general clauses within the scope of the matters they govern.
26.4. The Portuguese version of these Terms shall prevail in the event of any discrepancy with translations, unless expressly agreed otherwise.
